PT Tower Bersama Infrastructure Tbk (“TBIG”) Holds Annual General Meeting of Shareholders
JAKARTA, 9 June 2026 - PT Tower Bersama Infrastructure, Tbk. ("TBIG") held its Annual General Meeting of Shareholders (“AGMS”) today at the Westin Hotel in Jakarta. The AGMS was attended by the Company’s shareholders primarily through proxy and e-proxy and achieved the required quorum.
The financial statements and Annual Report for the year ending 31 December 2025 were accepted,ratified as well as approved by the Company’s shareholders at the AGMS.
Shareholders approved the 2025 Total Cash Dividend of IDR1,059.9 billion, which is approximately 74% of 2025 Net Profit or approximately IDR47 per share, which will be paid on 9 July 2026 to all shareholders on record as of the close of business on 22 June 2026 with cum dividend (last trading day entitled to receive dividend) on 18 June 2026.
The AGMS authorized the Board of Commissioners to appoint a Public Accountant to audit the Company’s Financial Statement for the Financial Year ending on 31 December 2026 (“Financial Year2026”). The Board of Commissioners is also authorized to determine the salary and benefits for members of the Board of Directors as well as the salary or honorarium and benefits accorded to the Board of Commissioners for the Financial Year 2026.
The AGMS approved the plan to potentially issue foreign currency‐denominated bonds or notes, with the total issuance size of up to USD 900 million in one or more issuances to be issued by the Company within 12 months from the AGMS approval date. The issuance(s) would be offered to investors outside of Indonesia that constitutes as a material transaction according to Financial Services Authority (OJK) Regulation No. No. 17/POJK.04/2020 regarding Material Transactions and Main Business Activity Changes.
